- In the past, private U.S. firms traditionally went public by using the services of investment banks. More recently, some firms have gone public by directly listing their shares on an exchange. In the late 20th century, an alternative vehicle for going public was invented that involved creating a public shell company (special purpose acquisition company (SPAC)), which would later merge with a private company. This case addresses several important features of SPACs by examining DraftKings' use of a SPAC to go public, with a detailed coverage of an important SPAC-related issue-outsize gains to SPAC sponsors and private equity, leaving SPAC shareholders in a disadvantaged position. The case enhances student understanding of the three going-public alternatives and provides them with an opportunity to learn to value warrants in calculating returns to various classes of SPAC investors.
