- In September of 2023, the board of Vedanta Limited (VEDL), a listed Indian natural resource company, was considering a proposal to demerge VEDL into independent "pure play" companies. VEDL diversified its portfolio across metal, mining, oil and gas, and power, and was considered valuable in the cyclical commodity market. This case examines the rationale of the proposal to demerge VEDL and how the above decision will lead to unlocking value for its key stakeholders such as shareholders and debt holders, improve governance and management control at Vedanta Group Entities, and attract growth capital to finance future projects. Students will be asked to evaluate the proposal to demerge VEDL and how the decision will impact various stakeholders of VEDL.
