- In August 2022, the Adani Group acquired a 29.18% stake in New Delhi Television Limited (NDTV) as part of a hostile takeover attempt. This initial acquisition was followed by an open offer in November 2022 to purchase an additional 26% controlling stake in the company. Notably, the open offer price was 25% lower than NDTV's prevailing market price on the announcement date. Despite the discount, more than 5.3 million shares were sold at the offered price, enabling the Adani Group to secure a controlling stake, surpassing that of NDTV's founding promoters, Prannoy Roy and Radhika Roy. This situation created a dilemma for shareholders: should they hold onto their shares, anticipating a potential price increase after the takeover, or sell at the open offer price to secure immediate returns?
