Summary:

In 2020, the Sinerba Holding company began the process of professionalization to transform from a family business. As discussed in Part 1 of this case series (Sinerba, Part 1: Professionalising and Training of a Family Business for Generational Continuity), the Borrego Álvarez siblings thought that it was time to formally redistribute the shares as their children were growing up and would soon join the business. The siblings engaged the University of Malaga in Spain to design and implement a training course for them to better understand the situation of their family firm. After completing the training course, the family agreed to redistribute the shares among themselves based on a mutually agreed criterion. At that point, the Borrego Álvarez family wondered how to create a board of directors as part of their professionalization process. They needed to determine what its composition should be and what other relevant aspects of a board they needed to agree upon, as well as how its effectiveness would be measured.
