In February 2025, tensions surfaced at Vansh Chemicals-a third-generation, â,¹4.5 billion (~$72 million), specialty chemicals SME manufacturer1-when Shivani Agarwal, a 29-year-old PhD in Environment and Sustainability from the University of Surrey, pitched a bold ESG (Environmental, Social, and Governance) roadmap to her uncle Mahesh, the firm's long-serving Managing Director. With global buyers increasingly demanding sustainable practices, Shivani proposed phasing out high-emission intermediates, investing in green R&D, and building sustainability-linked credentials to access global markets. Mahesh, however, questioned both the financial viability and strategic relevance of ESG for a company rooted in cost-efficiency and domestic client priorities. The case juxtaposes Vansh's strong domestic growth prospects against emerging external pressures such as the EU's Carbon Border Adjustment Mechanism (CBAM) tightening Indian environmental regulations, and peer competitor moves. It highlights the inter-generational conflict between strategic continuity and next-gen transformation in a family business, while also raising critical questions about the adequacy of Vansh's informal governance process in evaluating such high-stakes shifts.
