Madhukar Parekh, the second-generation leader of Pidilite Industries Limited, a Mumbai, India-based family-owned, adhesive manufacturing business, was facing the dilemma about what to do to ensure the sustenance of the Parekh family legacy and ownership control of business beyond the third generation of his family. Pidilite was the dominant player in the growing adhesive and sealant category in India. However, there were competitive challenges from both multinational and local rivals. Although the executive management of Pidilite was handled well by capable professionals from outside the owner family, the Parekhs continued to own the company. Since 2013, the Parekhs experienced the demise of several first-generation family leaders. In the third generation, only a few family members were involved in the business, with several others having started their own ventures. The Parekh family's shareholding was widely distributed among several family members and relatives across multiple generations and family branches. However, they did not have any family governance structure or mechanism. As their fourth generation was growing up, Madhukar was aware of the need for an effective family governance structure to consolidate ownership and strengthen the interface between the family and business. However, he was not clear about where to start and what kind of family governance structure and mechanism would be effective to sustain the family legacy and control over the business. Students will be asked to evaluate the options and then devise an effective family governance structure and mechanism to help the owner-family sustain their legacy and business ownership beyond four generations.
