Summary:
Dutch State Mines (DSM) is a Netherlands-based multinational corporation specializing in products and services for human and animal health and nutrition. The company has operated in Brazil since 2003 through its subsidiary DSM Latam. In 2013, DSM Latam acquired Tortuga, a major Brazilian competitor, which specialized in animal nutrition. Although acquiring Tortuga proved to be a sound business decision, it also quickly highlighted the need to amplify cost-saving synergies through the implementation of enterprise resource planning software to integrate the core business functions into a unified system. This case describes how complex business transformation and technology integration projects are subject to organizational challenges from the leadership and the cultural perspectives. It shows how DSM HQ and the subsidiary shared conflicting views regarding project execution. The case hinges on the point where a formal meeting is organized between the senior management and subsidiary where they must decide to delay the project or go as per schedule. Students will be asked to discuss the pros and cons from the perspective of both DSM HQ and DSM Latam, and to determine the best course of action about keeping the initial go-live date. In doing so, students may rely on leadership, cross-cultural management, and decision-making theories, with special attention to their practical relevance in the context of headquarters-subsidiary relationships.
