Summary:
The agency theory (M. C. Jensen & Meckling, 1976) is a concept that explains the contractual relationship between two parties: the principals and the agents who are employed by the principals to act on their behalf. Within a company, the agent generally refers to the executive or the manager of the company who is employed by the principal—that is, the shareholders, investors, or the owners of the corporation. The services for which the agent is appointed by the principals include decision-making in the day-to-day activities and operations as well as the investments of the company. This theory explains how self-interested people tend to behave in a corporate environment.
