Summary:
On February 21, 2023, Minda Corporation Ltd (hereafter, Minda), a leading auto ancillary company with headquarters in southern India, acquired a 15.7% (19.14 million shares) stake in Pricol Ltd (hereafter, Pricol) for a consideration of INR 4,000 million (approximately USD 50 million). Minda had purchased the shares at an average market price of INR 208.98. This was an open market transaction, which did not require approval from the Securities and Exchange Board of India. The stake had been purchased from fund houses and other large investors as part of three block deals (legal transactions conducted in Indian stock exchanges). The share price of Pricol had undergone a meteoric rise between 2021 and 2023. Minda claims this to be a financial investment without any strategic motives. The open market transaction puzzled the markets, as Pricol had restructured its business operations on a strategic intent and paid no dividends in the preceding financial years. The management and promoters of Pricol, considering the time and effort spent on restructuring the operations, are very much opposed to any takeover attempt. Set in the current circumstances, the case provides a rich study of factors that could have triggered the buying decision from Minda and whether the decision serves as a prelude to a hostile takeover or will remain a financial investment. This case assumes significance as the developments are current, and hostile takeovers are a rare occurrence in India. It also provides an opportunity for students to analyze Pricol's growth prospects, value the company, and devise apt recommendations to existing and prospective investors. Students will be asked to analyze and evaluate whether the stake acquired by Minda in Pricol is a mere financial investment or a strategic investment for the company.
