- Summary:
- This case involves a small, rural critical access hospital that has recently merged with a large multistate health system. The large health system itself is in the process of merging with another health system and is seemingly ignoring the needs of the critical access hospital. Confounding the situation is the fact that the CEO (of the critical access hospital) is new, the community may or may not be able to support a hospital of any size or type, and the large health system is reportedly investigating alternatives to providing hospital services to this small community-contradicting discussions held during the merger negotiations. In addition to board dynamics, the case provides the opportunity for students to discuss mergers and acquisitions, the 340B program (a federal pharmacy program), community access hospitals, federally qualified health centers, and rural emergency hospitals. Students will be asked to (1) evaluate the dynamics among the various parties in a healthcare system, (2) describe the shortfalls of not using precise language in negotiations and contracts, (3) compare system thinking and resource allocation to local perceptions and needs, and (4) describe the advantages and disadvantages of being a subsidiary of a large organization.
