- International and domestic commercial contracts are done on standard contract terms. The contract terms have been evolving with changing business practices and court judgments resolving the rights and obligations of the parties. In a sale contract, transfer of ownership from the seller to the buyer is a key moment. Following this, the rights and obligations of the parties change. A seller may deliver the goods to the buyer and ownership change without the seller being paid. To protect the seller, in the 1970s, a negatively worded term was used in the contracts that the ownership will not transfer till the seller was fully paid. This gave the right to the seller to re-possess the goods. Later, to meet business exigencies, in conjunction, terms were introduced to let the buyer use the goods. What are the effects of the contradictory provisions in a sale of goods contract?
